This Terms of Service Agreement (“Agreement”) is a legal agreement between you (“Customer” or “you”) and Telkart LLC (“Telkart,” “we,” or “us”) regarding the use of Telkart’s VoIP services (“Services”). By using the Services, you agree to be bound by this Agreement and Telkart’s Acceptable Use Policy, available at https://telkartllc.com/. Your use of the Services constitutes your assent to these terms.

1. Eligibility and Account Administration

To use the Services, you must be a subscriber in good standing with a valid, authorized payment method on file. You are responsible for obtaining and maintaining your own Internet connection, and Telkart is not liable for issues caused by your Internet connection or third-party products.

You may designate one or more account administrators (“Administrator”) with full control over your account via the Telkart user portal. The Administrator can manage services, update payment methods, and handle number porting. To reassign Administrator status, the current Administrator must submit a request via email from the registered email address or provide a written request on company letterhead signed by an officer or owner. Administrators may also designate “Company Contacts” to receive account-related communications, such as billing notices or service updates.

2. Service Pricing and Changes

You agree to pay all rates, fees, and charges as outlined in your Service Agreement or posted in the Telkart user portal, including usage-based charges (e.g., per-minute, per-call, per-text) and applicable taxes or fees. Telkart may adjust rates or service plans with 30 days’ notice via the user portal or email to your Company Contact. You are responsible for reviewing applicable rates before using the Services.

Telkart may modify non-price terms of this Agreement with 30 days’ advance notice posted on https://telkartllc.com/. Changes take effect the next business day after the notice period unless you object in writing to Telkart. You are responsible for keeping your contact information current.

3. Billing and Payment

Failure to pay in full may result in immediate account suspension, and Telkart is not liable for any resulting service disruptions. Late payments may incur a 1.5% monthly fee (or the maximum allowed by law). You are liable for all collection costs, including reasonable attorneys’ fees, incurred by Telkart to recover outstanding balances. Telkart may use automated dialing systems to contact you regarding your account at any provided phone number, including mobile numbers.

Upon termination for non-payment, Services will be unavailable, and assigned telephone numbers may be reclaimed immediately.

4. Termination

Either party may terminate this Agreement with 30 days’ written notice. Upon termination, you may request a refund of any prepaid balance, which Telkart will process within 30 days, less any outstanding amounts owed.

5. Usage and Fraud

You are responsible for all inbound and outbound call traffic costs, including unauthorized or fraudulent usage. You must secure all credentials and equipment used to access the Services. Telkart may block access to specific numbers or regions to prevent fraud without notice. Telkart is not liable for fraudulent usage and has no duty to investigate or prevent it.

6. Emergency Services (911)

Telkart’s 911 dialing operates differently from traditional 911 services and is disabled by default. To enable Enhanced 911 (E911), contact Telkart Support and provide 30 days’ notice. You must provide a valid physical address (not a P.O. box) for 911 routing. You are responsible for informing all users at your location of the limitations of Telkart’s 911 services.

  • Non-Availability: 911 service may not be available in all areas, particularly outside the U.S. Calls are routed to the Public Safety Answering Point (PSAP) based on the address provided at activation. You must update your address in the user portal if your equipment is moved.
  • Limitations: Network congestion may delay 911 calls, and PSAPs may not receive your phone number or address automatically. You must be prepared to provide this information to emergency operators. Telkart is not liable for incorrect routing, service outages, or inability to connect 911 calls.
  • Indemnification: You agree to indemnify Telkart and its affiliates against any claims, losses, or damages arising from 911 usage, including incorrect address information or service failures.

7. Number Porting

Telkart may initiate number porting on your behalf as needed to provide the Services. You release Telkart from liability for service interruptions, porting delays, or number loss caused by third-party technical issues.

8. Intellectual Property and Confidentiality

  • Suggestions and Custom Work: Any suggestions for improving the Services are assigned to Telkart. Custom development work, if agreed in writing, will be billed at Telkart’s standard rates, and all resulting intellectual property remains with Telkart.
  • Confidentiality: Rates, usage data, and non-public information exchanged under this Agreement are confidential. You agree not to disclose such information without Telkart’s written consent, except as required by law, and to use reasonable measures to protect it.

9. Compliance with Laws

You agree to use the Services in compliance with all applicable laws, including those related to intellectual property, call recording, and telemarketing. Non-compliance may result in immediate termination of Services.

10. Arbitration

Except for intellectual property disputes, all disputes arising from this Agreement will be resolved through binding arbitration under the American Arbitration Association’s Commercial Arbitration Rules in Wilmington, Delaware. The arbitrator’s decision is final, and Virginia discovery rules apply. Both parties waive the right to a jury trial.

11. Limitation of Liability

Telkart is not liable for indirect, incidental, or consequential damages, including loss of profits or data, except for damages caused by Telkart’s reckless or intentional misconduct. Telkart’s total liability is limited to the amount you paid Telkart in the six months prior to the claim. The Services are provided “as is” without warranties of any kind.

12. Indemnification

You agree to indemnify Telkart against any third-party claims arising from your use of the Services or breach of this Agreement.

13. Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws provisions.

14. Entire Agreement

This Agreement, along with any Service Agreement, constitutes the entire agreement between you and Telkart, superseding all prior agreements.

15. Severability and Waiver

If any provision is invalid, the remaining provisions remain enforceable. Failure to enforce any provision is not a waiver of future enforcement.

16. Survival

Provisions related to confidentiality, arbitration, indemnification, and limitation of liability survive termination of this Agreement.
